Assumption of Risk, Release of Liability and Waiver
Read this carefully. It affects your legal rights. By checking the box when you create a Boatze account, or by using Boatze, you give up the right to sue Caprilis Investments LLC for injuries, damage or losses connected with your use of Boatze, including those caused by its negligence.
1. Parties
This agreement is between you and Caprilis Investments LLC, the owner and operator of the Boatze mobile app and website, together with its members, managers, officers, employees, contractors, agents, affiliates, successors and assigns (together, the "Released Parties"). It is part of, and in addition to, the Boatze Terms of Use.
2. What Boatze is, and what it isn't
Boatze is a community information tool. Most of what it shows is posted by other users or comes from third-party sources, and it may be wrong, incomplete, late or missing. Boatze is not a nautical chart, a navigation instrument, a depth sounder, a collision-avoidance system, a weather service, or an emergency service. Neither Caprilis Investments LLC nor any Released Party checks, verifies or monitors reports, routes, depths, zones, conditions, places or prices before they appear.
3. Risks you accept
You understand that boating, personal watercraft (jet ski) operation, paddling, swimming, fishing and other activities on or near the water are inherently dangerous and can result in serious injury, death, and damage to or loss of property. You voluntarily assume all of these risks, known and unknown, including risks that arise from:
- reports, alerts, zones, routes, arrival times, depths, charts, tides, wind, weather, fuel prices or place information that is inaccurate, outdated, incomplete or missing;
- a route that crosses shallow water, obstructions, restricted or protected areas, or hazardous conditions;
- charts, depths and routes outside U.S. waters, including the Bahamas and Mexico, where Boatze has no official chart data and relies on volunteer shoreline data (OpenStreetMap) and a coarse global depth grid (GEBCO, about one value every 460 meters) that does not show channels, sandbars, rocks, reefs or coral heads;
- an alert that comes late, comes wrong, or doesn't come at all, including because of GPS error, lost signal, a dead battery, a muted phone, or the app being closed;
- content posted by other users, including false, misleading or abusive reports;
- looking at or handling your phone while operating a vessel;
- citations, fines, arrests or other enforcement action, whether or not a patrol was reported in Boatze;
- interruptions, errors, bugs, data loss or outages of the app or its providers;
- visiting places, spots, marinas, businesses or other users you found through Boatze.
4. Your responsibilities
You alone are responsible for operating your vessel safely and lawfully, keeping a proper lookout, carrying and using official charts (including the official or local charts of any country whose waters you enter) and required safety equipment, watching your depth sounder, checking conditions, obeying all speed, no-wake, manatee, wildlife and navigation rules, and deciding whether and where to go. You agree not to rely on Boatze as your only, or main, source of information for any decision affecting safety.
5. Release and waiver
To the fullest extent permitted by law, you, for yourself and for your heirs, executors, administrators, assigns, passengers and anyone claiming through you, release, waive, discharge and promise not to sue the Released Parties for any and all claims, demands, losses, damages, liabilities, costs and causes of action of any kind, including for personal injury, illness, death, damage to or loss of a vessel or other property, fines, lost profits, and emotional distress, that arise out of or relate in any way to your use of Boatze or your reliance on any information in it, including claims caused in whole or in part by the negligence of the Released Parties.
This release does not apply to liability that cannot be waived under applicable law, such as liability for a Released Party's intentional misconduct or, where the law does not allow it to be waived, gross negligence.
6. Indemnity
You agree to defend, indemnify and hold harmless the Released Parties from any claim, loss, damage, cost or expense, including reasonable attorneys' fees, brought by you, your passengers, or any third party, that arises out of your use of Boatze, your content, your operation of any vessel, or your breach of this agreement or the Terms of Use.
7. Limit on any remaining liability
If, despite this agreement, any Released Party is found liable to you, the total liability of all Released Parties for all claims combined will not exceed the greater of US$50 or the amount you paid for Boatze in the 12 months before the claim, and no Released Party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages.
8. No class actions or jury trials
To the extent permitted by law, you agree to bring any claim only in your individual capacity and not as a plaintiff or class member in any class, collective or representative proceeding, and you and Caprilis Investments LLC each waive the right to a trial by jury.
9. Minors and passengers
If you are under 18, a parent or legal guardian must review and accept this agreement on your behalf, and by doing so agrees to it for you and for themselves to the extent permitted by law. If you let anyone else use Boatze on your device, or make decisions for your vessel based on it, you are responsible for their use, and the indemnity in section 6 covers claims they bring.
10. Governing law and venue
This agreement is governed by the laws of the State of Florida and applicable U.S. federal and maritime law, without regard to conflict-of-law rules. Any dispute will be brought only in the state or federal courts located in Florida.
11. Severability and entire agreement
This agreement is intended to be as broad and inclusive as Florida law allows. If any part is found unenforceable, that part will be limited to the minimum extent necessary and the rest will remain in full force. Together with the Terms of Use and Privacy Policy, it is the entire agreement on its subject.
12. Electronic acceptance
You agree that checking the box in the app is your electronic signature and has the same effect as signing on paper. We keep a record of which version you accepted and when. If we change this agreement, you'll be asked to accept the new version before continuing to use Boatze.
